When Luis Hernandez graduated from Texas A&M International University with an accounting and finance degree, he kept encountering the same problem across small and mid-sized businesses: ownership was a mess. Equity arrangements were buried in filing cabinets, captured in legal documents that cost thousands of dollars to revise, and tracked across spreadsheets that no one fully trusted. For a company founder trying to give a co-founder, an early employee, or a key advisor a stake in the business, the infrastructure simply was not there.

Hernandez founded Smart Block Island in Houston, Texas in 2022 with one foundational conviction: "if you own something, you should be able to prove it in ten seconds." The company set out to build the infrastructure that would bring business ownership on-chain — making it programmable, verifiable, and held directly in a digital wallet.

What the Platform Does

Smart Block Island describes its core service plainly: "We tokenize businesses." The platform allows a company to represent its ownership structure as digital tokens, then manage that structure — allocation, vesting, distribution, and documentation — through smart contracts rather than manual spreadsheets and expensive attorney consultations.

The process begins with token creation. A company defines a custom ownership token with a fixed supply, then allocates portions to founders, employees, advisors, investors, and other contributors. From that point, smart contracts take over: vesting schedules execute automatically according to the terms set at the time of allocation, removing the administrative overhead and potential disputes that come with manually enforcing time-based equity milestones.

Every change to the cap table is recorded on-chain, creating an immutable audit trail. Supporting documents — operating agreements, term sheets, board resolutions — are stored on IPFS-backed infrastructure, pairing cryptographic permanence with distributed storage. Token holders access a personal dashboard through their digital wallet, showing their current balance, vested amount, and estimated stake value in real time.

The company's pitch to founders is that a clear, machine-readable ownership record creates a better foundation for nearly every subsequent milestone: governance decisions, capital raises, succession planning, and eventual exit. Rather than reconstructing the cap table from scattered documents when an investor asks for a data room, the ownership history is already organized and verifiable.

There are no long-term contracts; users can cancel at any time.

A Scale plan is in development. It is slated to add accounting platform features including real-time ledger automation, payroll integration, governance tools, an API layer, Stripe payment connectivity, and dedicated account management. Current subscribers will transition to Scale pricing when those features launch.

The Contribution Marketplace

Beyond the core ownership platform, Smart Block Island operates a Contribution Marketplace — a separate application that functions as a registry connecting early-stage companies with contributors willing to work in exchange for an equity stake. The marketplace is explicit that it is not a job board and not a fund; it is a ledger of companies offering ownership pools to contributors, organized by company stage (pre-seed through growth), traction level, and industry sector.

The marketplace surfaces participating companies and their contributor opportunity details — including valuation caps, the size of the contributor pool, open positions, team holdings, and selected financial data — to registered users. It represents an attempt to build an ecosystem around tokenized equity, where the cap table infrastructure and the market for equity compensation exist in the same environment.

Luis Hernandez serves as founder and CEO. The company has assembled an international team that includes Roberto Mejia as CTO, Lee Lisonbee as President and Head of Growth, Dusty Ball as CMO, and Jeff Serafine as Head of Business Development. Technical staff span blockchain engineers, full-stack developers, and AI strategists. An advisory board includes serial entrepreneurs and CPAs specializing in real estate and business valuation.
