Citi downgrades Moderna to sell after 223% cancer vaccine rally
Citi analyst Geoff Meacham downgraded Moderna to sell on September 30, according to CNBC and Tradingpedia. He raised his price target to \$80 from \$60, but the new target still sits about 60% below Tuesday's close of \$203.46. Meacham said he struggles "to justify the valuation through public-company comparisons or pipeline" net present value. He noted that Moderna's market cap of roughly \$80 billion is close to Regeneron's, even though Moderna is expected to earn materially less revenue and profit. Shares fell nearly 6% in premarket trading after the call. Before the downgrade, only two of the roughly 24 analysts covering the stock rated it a sell.
The stock had gained about 223% since August 19. That day, Moderna reported positive Phase 3 results for intismeran autogene, a personalized cancer vaccine it is developing with Merck that is given alongside Keytruda. The trial enrolled more than 1,100 melanoma patients. Over the past year the shares had climbed from a 52-week low of \$22.28 to around \$209. In a separate setback on September 28, a Delaware federal court denied Moderna's motion to dismiss a patent infringement lawsuit brought by Bayer's Monsanto unit over mRNA-related intellectual property.

Moderna (MRNA) Soars 156% in August on Melanoma Trial Win and FDA Vaccine Approvals
Moderna shares surged 156% in August 2026, making MRNA the top-performing stock of the month, driven primarily by a landmark Phase 3 clinical trial result. The company's individualized neoantigen therapy intismeran autogene, developed in partnership with Merck and combined with Keytruda, hit both primary and key secondary endpoints — recurrence-free survival and distant metastasis-free survival — in melanoma patients. It marked the first Phase 3 readout demonstrating a clinically meaningful improvement over Keytruda alone, a milestone described as the first positive result for any mRNA-based cancer therapy combination in a pivotal trial. Melanoma affects roughly 112,000 new U.S. patients annually and 330,000 globally.
Additional tailwinds included FDA approval of updated 2026–2027 COVID-19 formulations for both Spikevax and mNEXSPIKE, broadening authorized use across age groups and high-risk populations. Institutional interest also firmed up: 49 hedge funds held MRNA positions in Q2 2026, with combined holdings rising 10% quarter-over-quarter to $1.5 billion.

Cramer Calls Moderna-Merck Melanoma Results Encouraging as Analysts Lift Targets
Jim Cramer weighed in on the late-stage melanoma trial results for Moderna's mRNA cancer vaccine combined with Merck's Keytruda, calling the findings "encouraging for both" companies and describing the development as "real serious" given melanoma's severity. The commentary followed the Phase 3 readout — already covered separately — and added mainstream Wall Street validation to clinical data that showed the combination generated a customized immune response against the cancer.
The market reaction was notable: Bank of America upgraded Moderna and raised its price target from $40 to $170, while Morgan Stanley lifted its target from $39 to $89. Both moves reflect a reassessment of the company's pipeline after a difficult stretch that included a $782 million net loss in Q2 and an early failure for its norovirus vaccine candidate. The melanoma program, developed alongside Keytruda — which accounts for roughly half of Merck's $16.6 billion Q2 revenue — now stands as Moderna's clearest near-term catalyst for a return to growth.

Moderna Wins FDA Approval for Three Vaccines, Including First mRNA Flu Shot
Moderna received FDA clearance for three vaccines: an updated Spikevax targeting the latest SARS-CoV-2 subvariants, a next-generation COVID-19 candidate called mNEXSPIKE, and mFlusiva, marking the first FDA-authorized mRNA-based influenza vaccine for adults 50 and older. The trio of approvals reinforces Moderna's regulatory momentum with mRNA technology and places the company in direct competition with Pfizer and Novavax on COVID and with Sanofi and GSK on flu.
The strategic significance lies in Moderna's effort to shift from a COVID-dependent revenue model toward a multi-product respiratory franchise. The mFlusiva approval in particular signals that mRNA platforms can compete in established vaccine markets beyond COVID. However, the commercial payoff hinges on factors outside regulatory control: annual uptake rates, pricing negotiations, and pharmacy stocking decisions. Respiratory vaccines remain seasonal products, meaning each approval adds a revenue line without eliminating the cyclical concentration risk that has pressured Moderna's financials since peak COVID demand faded.

Moderna Plans $2B Zero-Coupon Convertible Notes with Capped Call Dilution Guard
Moderna is raising $2 billion through a private placement of zero-coupon convertible senior notes due 2032, with initial purchasers holding an option for an additional $300 million. The notes carry no regular interest payments and no principal accretion, and the company may settle conversions in cash, shares, or a combination — terms that leave the precise dilution impact unresolved until conversion rates are set at pricing. The timing follows the company's positive Phase 3 results for intismeran autogene in melanoma treatment, and net proceeds are earmarked for capped-call transactions, general corporate purposes, oncology pipeline investment, and debt repayment.
To limit shareholder dilution, Moderna is pairing the offering with a capped call structure whose initial cap price is expected to be at least 150% above the stock's pricing-day level. The mechanism offsets conversion-driven dilution within that band, but above the cap price any additional share-price appreciation would still expose shareholders to dilution. Critics of the structure note that hedge costs and debt-service obligations also reduce capital available for growth, and the full dilution picture will not be clear until final conversion rates and capped-call costs are disclosed.

Moderna CEO Warns China Is Investing Heavily in mRNA as US Cuts Biotech Funding
Moderna CEO Stéphane Bancel warned on Fox Business's "Mornings with Maria" on August 24 that China is "investing heavily in mRNA" technology as Beijing challenges U.S. dominance in biotechnology. Bancel noted that China's Communist Party has designated biotech a "strategic emerging industry" and is directing state financing and subsidies into the sector — a contrast to the U.S. government, which wound down nearly $500 million in mRNA vaccine development projects through BARDA in August 2025. "The government has an active role to play in taking risk for really innovative medicine," Bancel said.
The comments came days after Moderna's stock surged roughly 177% following Phase 3 melanoma trial success for its personalized mRNA cancer treatment in partnership with Merck. Bancel said Moderna has responded to the competitive threat by expanding domestic manufacturing in Massachusetts using enzyme-based processes, keeping advanced personalized oncology production on U.S. soil. He added that Moderna expects to move into rare genetic diseases by year-end, positioning the company's mRNA platform as strategically critical at a moment when the geopolitical stakes of the technology have intensified.
