Republic

Republic is a global fintech firm that operates at the intersection of retail crowdfunding, private capital markets, and blockchain-based tokenized securities. Founded in 2016 by Kendrick Nguyen, Paul Menchov, and Peter Green after spinning out of AngelList, Republic launched with the explicit goal of removing the accreditation wall that historically locked everyday investors out of startup and private market deals. The platform went live on July 18, 2016, and has since deployed over $2.6 billion in investments across more than 2,500 companies, building a community of 3 million members spanning more than 150 countries.

How the Platform Works

Republic operates as a registered funding portal under the SEC's Regulation Crowdfunding framework, with its portal entity — OpenDeal Portal LLC — registered with the SEC and FINRA. That regulatory footing lets Republic host Reg CF offerings accessible to non-accredited investors, alongside Reg A+, Reg D, and Reg S offerings for institutional and accredited participants. The minimum entry point for a Reg CF deal is as low as $50, which is the key structural feature that distinguishes Republic from traditional venture platforms. The company has also developed novel investment instruments including the Token DPA (digital promissory agreement) and the Republic Note, a profit-sharing digital security token that distributes a portion of the company's carried interest to token holders.

Republic functions not just as a portal but as a full-service firm: it offers digital merchant banking services, blockchain advisory, digital asset management, and secondary market infrastructure. This breadth puts it closer to an alternative investment bank than a simple crowdfunding site.

Acquisitions and Expansion

Republic has grown significantly through acquisition. In 2020 it acquired Fig, a video game crowdfunding platform. In 2021, Republic acquired Seedrs, the British equity crowdfunding firm, for approximately $100 million, immediately establishing a European footprint and gaining Seedrs' secondary market exchange for private company shares. In 2024, Republic brought in GoldenChain, the digital asset arm of GoldenTree Asset Management, to strengthen its institutional capabilities.

The most consequential acquisition for Republic's blockchain strategy came in 2025 when Republic agreed to acquire INX Digital Company for up to $60 million. INX, a regulated crypto and tokenized securities trading platform, added a U.S.-regulated broker-dealer, an Alternative Trading System (ATS), money transmitter licenses across multiple jurisdictions, and transfer agent capabilities to Republic's stack. The deal closed in late 2025 with INX delisted from Cboe Canada and its token trading temporarily halted during the transition. The INX acquisition gave Republic the full regulatory toolkit to operate a compliant, regulated secondary market for tokenized private assets — a capability that became central to the Solana strategy described below.

Republic has raised a total of approximately $216 million in funding over twelve rounds. Key backers include Morgan Stanley, Valor Equity Partners, Galaxy Interactive, Hashed, and AngelList.

Solana Integration: Mirror Tokens

Republic's most direct engagement with Solana came in June 2025 with the launch of its Mirror Tokens product. The inaugural offering was rSpaceX, a token minted on Solana that provides holders with economic exposure tied to SpaceX's valuation without conferring equity or ownership rights in the company — Republic confirmed no affiliation with SpaceX itself. The token is structured as a proprietary security token under a purpose-built standard Republic developed specifically for the Solana network, chosen for its high-speed, low-cost settlement infrastructure.

The rSpaceX offering was accessible from a $50 minimum investment with a $5,000 per-person purchase cap, payable by Apple Pay or stablecoins. Investors receive value exposure that tracks potential SpaceX liquidity events such as an IPO or acquisition. Republic disclosed plans to extend the Mirror Token framework to at least 20 additional private companies including xAI, Cursor, Ramp, and Perplexity. Trading of Mirror Tokens on the regulated secondary market became enabled once the INX acquisition completed, as INX's ATS infrastructure is the exchange layer underlying secondary token transactions.

In August 2025, Republic Europe introduced Mirror Notes, a parallel instrument for European investors seeking exposure to private companies without direct share ownership.

Solana Integration: Animoca Brands Equity Tokenization

On May 5, 2026, Republic launched a direct equity tokenization of Animoca Brands shares on Solana. The offering used Republic's blockchain system to handle token creation, issuance, and secondary trading, with underlying shares held in custody by BitGo Bank & Trust, an OCC-chartered institution. Eligible investors globally can purchase and trade tokenized Animoca shares on Republic's ATS, with 24/7 trading available — removing the OTC limitations typical of private company share transactions.

Existing Animoca shareholders were given the option to convert their holdings into tokenized form through a dedicated portal. Administrative fees for conversion were waived through June 15, 2026. The Animoca tokenization placed institutional-grade private company equity directly on a public Layer-1 blockchain, combining regulatory custody (BitGo), a compliant ATS (from the INX acquisition), and Solana's on-chain settlement layer.

Regulatory Engagement

In April 2026, Republic held a formal meeting with the SEC to discuss tokenization frameworks and what the company has termed an "Innovation Exemption" — signaling active dialogue with regulators about creating clear rules for security tokens and on-chain private market assets. This positions Republic as a participant in shaping the regulatory infrastructure for tokenized securities in the U.S. market.

Current Scale and Status

As of mid-2026, Republic remains active across its full product surface: retail crowdfunding for startups and real estate, crypto fund investments, institutional advisory, and its growing Solana-based tokenization suite. The platform's combination of SEC-registered portal status, an acquired regulated broker-dealer and ATS, and its proprietary Solana security token standard makes it one of the more structurally complete regulated tokenization platforms operating in U.S. markets. The Solana connection is functional infrastructure — the chain underpins the Mirror Token series and the Animoca equity tokenization — rather than a speculative roadmap item.
