Republic

Republic is a regulated private investment platform that allows retail and accredited investors to access asset classes historically reserved for institutional players. Founded in 2016 by Kendrick Nguyen, Paul Menchov, and Peter Green — all former AngelList staff — Republic was built to capitalize on the SEC's finalization of Regulation Crowdfunding (Reg CF) rules under the 2012 JOBS Act. That regulatory framework, effective May 2016, permitted non-accredited investors for the first time to own equity stakes in private companies through SEC-registered portals, and Republic launched within weeks of its effective date.

Platform Scope

Republic operates across multiple investment verticals from a single platform: early-stage startups, real estate, blockchain and crypto projects, gaming studios, music and creative projects, litigation finance, and small business loans. Investors can enter with as little as $10 to $50 depending on the offering. The company vets the projects it hosts — fewer than 5% of applicants are accepted — and charges no fees to investors directly; companies pay a success fee only if they complete their raise.

As of 2026, Republic has deployed over $2.6 billion across more than 2,500 ventures, with a community of more than 3 million users across 150 countries. The platform holds regulatory licenses in the United States, United Kingdom, and European Union, enabling compliant fundraising, trading, and financial services across jurisdictions.

Republic Crypto and the Token DPA

Republic's crypto arm, Republic Crypto, provides a regulated pathway for blockchain project fundraising. The primary instrument it uses is the Token DPA (Debt Payable by Assets), a debt security the team developed specifically for token pre-sales. Rather than offering tokens directly — which would face securities classification risk — a Token DPA is an interest-bearing loan that becomes payable in tokens or cash upon a defined liquidity event. This structure opens token pre-sales to non-accredited retail investors, not just US accredited investors, while keeping issuers inside a compliant framework.

Republic Note

Republic Note ($NOTE) is a security token the company issued to give holders ongoing exposure to Republic's own deal portfolio. It operates on the Avalanche blockchain and is structured as a revenue-sharing instrument tied to the performance of Republic's portfolio of more than 765 assets across 636 companies. That portfolio includes exposure to well-known private names such as SpaceX, Robinhood, and Carta — companies not accessible through public markets. The total supply of Republic Notes is capped at 800 million tokens.

Solana: Mirror Tokens and Tokenized Equity

Republic's most direct integration with Solana centers on its Mirror Tokens program and a series of tokenized equity offerings, both launched in 2025.

In June 2025, Republic launched rSpaceX, the first in a planned series of Mirror Tokens minted on Solana. The token offers economic exposure to SpaceX shares at a price reflecting the company's $350 billion private market valuation — approximately $225 to $275 per share equivalent — with a $50 minimum investment and a $5,000 cap per investor, designed to maximize retail participation. The token does not convey voting rights or direct equity ownership. Instead, holders receive economic exposure: if SpaceX reaches a liquidity event such as an IPO or acquisition, rSpaceX token holders participate in any upside. Republic chose Solana for its high throughput, low transaction fees, and the growing institutional infrastructure forming around it as a settlement layer for tokenized real-world assets. Republic stated that rSpaceX was the first of more than 20 planned Mirror Tokens, with future tokens expected to track private companies including xAI, Cursor, Ramp, and Perplexity.

Separately, Republic tokenized equity in Animoca Brands — a prominent crypto venture firm — directly on Solana, making those tokens available for secondary trading on Republic's marketplace. Underlying shares are custodied by BitGo Bank & Trust, and securities transactions are facilitated through INX Securities, LLC.

Republic also partnered with major private equity firm Hamilton Lane to offer retail investors access to private market funds for as little as $500, settled through Solana infrastructure. This partnership was highlighted at the Solana Accelerate 2025 conference.

INX Acquisition

In April 2025, Republic completed the acquisition of INX Digital Company for approximately $54.8 million — a 631% premium over INX's market price at the time. The deal had been in progress since 2023, when Republic first invested $5.25 million in INX and formed a partnership for tokenized securities. The acquisition gave Republic direct control of INX's regulatory licenses, including a US broker-dealer license, transfer agent registration, an Alternative Trading System (ATS) license, and money transmitter licenses. These licenses allow Republic to run primary issuance and secondary trading for tokenized assets entirely under its own regulatory umbrella, rather than relying on third-party trading infrastructure.

Regulatory Posture

Republic operates as a FINRA-registered broker-dealer in the United States and holds equivalent licenses in the UK and EU. Its securities offerings run under multiple regulatory frameworks — Regulation Crowdfunding, Regulation A+, and Regulation D — which collectively allow it to serve both retail and institutional investors across different deal types and geographies. The INX acquisition extended that regulatory stack to include secondary market trading capabilities, making Republic one of the few platforms that can handle the full lifecycle of a tokenized asset: primary issuance, custody, and regulated secondary trading.

Position in the Ecosystem

Republic occupies a distinct position in the tokenized real-world asset (RWA) space. It is neither a pure DeFi protocol nor a traditional broker, but a regulated bridge between private capital markets and on-chain infrastructure. Its use of Solana for Mirror Tokens and tokenized equity reflects a deliberate decision to build on a high-performance, low-cost settlement layer with growing institutional credibility. The platform's model — opening private company exposure to retail investors at low minimums, within a securities-law-compliant framework — positions it as infrastructure for the expanding tokenized securities market rather than as a speculative crypto project.
