Star

Star is a Solana-native fundraising platform that replaces months-long venture rounds with tokenized equity sales that can close in days. Launched in June 2024, Star targets early-stage app developers and startups that want to raise pre-seed or seed capital from a broad base of backers — without the gatekeeping of traditional venture capital or the jurisdictional friction of equity crowdfunding.

How Internet Rounds Work

The core unit on Star is an "internet round." A founder tokenizes a portion of company equity — typically 10%, though founders retain at least 90% — and sells that stake as a fixed supply of one billion Solana SPL tokens against USDC on a bonding curve. Token price rises dynamically as purchases accumulate, so early backers get the lowest prices.

The one-billion-token supply allocates as follows: 60% to public-sale backers, 20% to the founding team (subject to a nine-month linear vest with a three-month cliff), and 20% to seed the post-launch liquidity pool.

Raises are structured around three self-serve presets:

The preset chosen sets both the initial USDC raised and the market-cap threshold at which the round "graduates" — i.e., tokens unlock and begin trading on Solana. If a round falls short or is oversubscribed, investor capital is returned pro-rata.

Founder Economics

Star structures ongoing revenue for founders in three layers. First, founders receive the preset USDC amount up-front at launch. Second, they earn a 0.5% fee on every secondary trade of their token after graduation, creating a persistent royalty stream tied to the long-term trading volume of the raise. Third, as the token's market cap hits predetermined milestones, automatic capital unlocks are disbursed weekly in $2,500 tranches. Milestone triggers range from $2M market cap (releasing an additional $10,000) to $160M market cap (unlocking up to $8.6M total over time). Platform fees sit at 1% on trades during the live fundraise, dropping to 0.5% post-launch.

Legal Structure and Equity Backing

Unlike typical utility-token launches, Star tokens carry explicit legal equity backing through a system called Bedrock. Each raise creates three entities: a British Virgin Islands project company where the founder operates, a Cayman SPC holding preference shares on behalf of token holders, and an independent Bedrock Foundation that enforces token-holder rights. The Foundation can intervene in cases of fraud, misuse of funds, or unauthorized value extraction, but holds no operational role otherwise.

This structure means token holders have a real legal counterparty — not just a digital asset with informal claims. Founders retain full operational control while Bedrock provides a formal accountability layer that makes the equity easier for institutional investors to diligence.

Governance via Decision Markets

Beyond standard governance voting, Star routes consequential treasury decisions through prediction markets on combinator.trade. Token holders controlling 5% or more of the supply can initiate proposals; market pricing then determines outcomes, which are automatically executed. High-impact treasury spends or structural changes must pass through this mechanism, limiting unilateral founder discretion over capital raised from the community.

Governance rights include an explicit acquisition pathway: anyone who accumulates 30% or more of outstanding tokens gains the option to purchase the remaining supply at a premium, receiving the associated equity stake. Full 100% token accumulation yields the complete Bedrock equity position — providing a clear, onchain M&A mechanism for startups that gain traction.

Investor Participation

Investors access Star through a self-custody Solana wallet or a custodied Star account. They deposit USDC and commit capital during the live bonding-curve sale. Allocations fill pro-rata; if a round is oversubscribed or fails to meet its minimum threshold, USDC is refunded. After a successful graduation, backers claim their equity-backed SPL tokens, which are immediately tradeable across Solana protocols.

Early Traction

Several raises have closed on the platform since its 2024 launch. SurfCash, a stablecoin neobank for cross-border workers, raised $450,000 and grew its waitlist from 1,000 to 15,000 users in the months following the round, while generating $40,000 in trading revenue in the first week of token trading. Trace, a voice-first reminder app, raised $15,000 within 48 hours and signed up 200 TestFlight users during its campaign. Star's own seed round — run through its own platform as a proof-of-concept — raised $450,000, generated $150,000 in secondary trading volume, and reached 3 million organic impressions on X (Twitter) with no paid marketing. As of mid-2025, the platform has facilitated approximately $1.57 million across six startup raises.

Tooling and Distribution

Star pitches itself as compatible with both traditional founder workflows and emerging agentic tooling. Founders can launch via the star.fun/raise web interface or via CLI. The platform also ships an MCP-compatible @star-factory/launch-cli package, allowing founders to configure and launch rounds through Claude, Cursor, or other MCP-enabled AI agents — with the constraint that all wallet-signing actions require explicit human approval before execution.

Live pitching is built into the platform culture: Star hosts "Live Onchain Shark Tank" events where founders pitch in real time while the bonding curve runs, and community members can trade during the pitch session itself.

Positioning

Star occupies a distinct niche between crypto token launches and traditional startup equity crowdfunding. It is not a speculative meme-coin launchpad — tokens represent legal equity in operating companies, with real governance rights and a clear path to acquisition. But it also sidesteps the regulatory complexity that limits conventional equity crowdfunding platforms. The Bedrock legal wrapper and decision-market governance layer are designed to make internet rounds credible to angel investors and institutional players, not just crypto-native retail traders. The platform launched on Solana for its throughput, low fees, and SPL token composability, positioning token holders to interact with the wider Solana DeFi ecosystem as the underlying companies grow.
